    📋 Quick Summary (TL;DR)

    • What this is. Terms of our Affiliate Program - how you can earn commissions for referring new paying Customers to FollowUP CRM.
    • Who can join. Independent professionals - business consultants, B2B marketers, accountants, sales coaches, anyone with a network of business contacts. Not for spammers, not for unethical promoters.
    • Compensation. 500 GEL fixed bonus per qualified successful onboarding, plus 10% of the referred Customer's monthly subscription Fee for 12 months.
    • Payout. Monthly, on the 15th of each month, for commissions earned in the prior month - provided the referred Customer is still active and not in chargeback/refund.
    • The big rules. No spam. No brand bidding ("FollowUP CRM" on Google Ads). No misrepresentation. No self-referrals. Disclose your affiliate status (FTC #ad). Comply with this Agreement, the MSA, and the AUP.
    • Status. You are an independent contractor - not our employee, agent, or partner.
    • Termination. Either side may terminate at any time. Earned commissions are paid out per the schedule; unearned commissions are forfeited.

    1. Program Overview and Eligibility

    1.1 The Program

    The FollowUP CRM Affiliate Program is operated by Sales Consulting Group LLC (operating as FollowUP CRM). Through the Program, you can earn commissions for referring new business Customers to FollowUP CRM.

    1.2 Who Can Join

    You are eligible to participate if you:

    (a) are at least 18 years old and have legal capacity; (b) are an independent contractor (sole trader, business entity, or professional acting on their own behalf); (c) are not a current employee, contractor, intern, or director of FollowUP CRM, HighLevel Inc., or any of our or their affiliates; (d) if you are a former employee of FollowUP CRM or HighLevel: at least six (6) months have passed since the end of your employment; (e) are not subject to sanctions or located in a Prohibited Jurisdiction (per MSA Section 5); (f) can accept payment via the methods we support.

    1.3 Application and Approval

    To participate, you must submit an application through the Program signup flow, accept this Affiliate Agreement, the MSA, the AUP, and the Privacy Policy, provide identification and tax information, and be approved by us (at our sole discretion).


    2. How the Program Works - Mechanics

    2.1 Your Affiliate Link

    On approval, you receive a unique affiliate link (and/or affiliate code) for tracking and commission attribution.

    2.2 Attribution - Qualified Referral

    A "Qualified Referral" is a new business that:

    (a) clicks through your affiliate link (or uses your affiliate code at checkout); (b) is not an existing or recently-existing FollowUP CRM customer (within the prior 12 months); (c) is not a self-referral or referral by an account you control; (d) completes signup and activates a paid subscription (not just a free Trial); (e) is successfully onboarded and remains a paying Customer for at least the first billing cycle without chargeback, refund, or breach-driven termination during that period.

    2.3 Cookie Window

    The attribution cookie has a 60-day window. Last-touch attribution applies - most recent click within the 60-day window is the attribution.

    2.4 Commission Structure

    For each Qualified Referral, you earn:

    (a) Fixed Bonus: 500 GEL (or equivalent at prevailing exchange rate), payable after the referred Customer's first successful billing cycle. All amounts inclusive of taxes required by Georgian law.

    (b) Recurring Commission: 10% of the referred Customer's monthly subscription Fee (excluding taxes, communications surcharges, and pass-through third-party fees), for 12 consecutive months beginning with the first paid month. All amounts inclusive of taxes required by Georgian law.

    2.5 Calculation Examples

    Example 1 - Starter plan referral: Customer subscribes to Starter at 379 GEL/month. Stays active 14 months.

    • Fixed Bonus: 500 GEL after first paid cycle.
    • Recurring: 10% × 379 = 37.9 GEL/month × 12 = 454.8 GEL.
    • Total: 954.8 GEL.

    Example 2 - Premium plan referral: Customer subscribes to Premium at 879 GEL/month. Stays active 8 months, then cancels.

    • Fixed Bonus: 500 GEL after first paid cycle.
    • Recurring: 10% × 879 = 87.9 GEL/month × 8 = 703.2 GEL.
    • Total: 1,203.2 GEL.

    Example 3 - Add-on subscriptions: Customer activates base plan (379 GEL/month) + AI Employee add-on (1,249 GEL/month). 12+ months.

    • Recurring: 10% × 1,628 = 162.8 GEL/month × 12 = 1,953.6 GEL.
    • Plus Fixed Bonus: 500 GEL.
    • Total: 2,417.6 GEL.

    2.6 No Commission On

    You do not earn commission on:

    (a) Communications Surcharges (SMS, voice, MMS, WhatsApp pass-through fees); (b) One-time fees (setup fees); (c) Third-party pass-through fees; (d) Taxes (VAT, GST, sales tax); (e) Refunds, chargebacks, or wallet credits; (f) Existing Customers who upgrade or change plans; (g) Customers who later become Resellers, on their downstream resale Fees.

    2.7 Payout Schedule

    Commissions are paid monthly, on the 15th of each month, for commissions earned in the prior calendar month. "Earned" means: the underlying subscription cycle has been billed, the referred Customer has paid, and at least 30 days have passed since payment (chargeback window).

    2.8 Payout Methods

    Georgian Affiliates: bank transfer in GEL. International Affiliates: bank transfer in USD or local equivalent (Wise, Stripe Connect, PayPal). Currency conversion at then-prevailing rates. You bear any wire-transfer or processor fees.

    2.9 Minimum Payout Threshold

    Payout is made when your accumulated payable balance reaches 150 GEL. If not reached within 12 months of accruing commission, we will pay out the balance on a one-time basis.

    2.10 Tax Treatment

    You are responsible for all taxes on Affiliate commissions. We will issue a payout summary, withhold tax where required by law, and report payments to relevant tax authorities. You agree to provide tax documentation (W-9, W-8 BEN, VAT ID, equivalent).


    3. What You May and May Not Do

    3.1 Permitted Promotion Methods

    You may promote FollowUP CRM through: content marketing (blog posts, articles, videos, podcasts, social media posts you author); email marketing to your own opt-in list; paid ads subject to Section 3.2; direct outreach through 1-to-1 communications (not bulk); referral mentions on your website, signature, business cards with clear disclosure; speaking engagements, webinars, conferences; organic social media with affiliate-disclosure-compliant posts.

    3.2 Prohibited Promotion Methods

    You may not:

    (a) Spam. Send unsolicited bulk SMS, email, voicemail, social media messages, comments, or DMs. Hard prohibition.

    (b) Brand Bidding. Run paid search ads targeting trademarks owned by us or HighLevel - "FollowUP CRM", "FollowUP", "HighLevel", "GoHighLevel", "LeadConnector", "SaasPreneur", and close variants. You may bid on generic CRM-related terms ("best CRM for agencies", "CRM software").

    (c) Domain Squatting. Register or use domain names incorporating our or HighLevel's trademarks.

    (d) Cookie Stuffing. Drop affiliate cookies on visitors who did not click your link.

    (e) Misrepresentation. Make false or misleading claims about FollowUP CRM, HighLevel, our features, pricing, guarantees, or policies.

    (f) Impersonation. Represent yourself as an employee, agent, or representative of FollowUP CRM or HighLevel.

    (g) Self-Referrals. Refer yourself, your own businesses, accounts you control, family members in the same household, or businesses you are an officer/employee of. Commission fraud - results in clawback and termination.

    (h) Affiliate-Stacking. Layer multiple affiliate accounts or coordinate with other affiliates to manipulate attribution.

    (i) Coupon, Cashback, or Loyalty Site Listings without our prior written approval.

    (j) Piracy or Illegal-Content Sites. Posting your affiliate link on websites hosting pirated content, illegal goods, or AUP-violating material.

    (k) Misleading Reviews. Posting fake reviews on third-party platforms.

    (l) Endorsement Without Disclosure. Recommending FollowUP CRM in a paid context without clearly disclosing your affiliate status.

    3.3 FTC Endorsement Disclosure

    You must clearly disclose your affiliate relationship in any promotional context - for example:

    • in social media posts: "#ad" or "#affiliate" or "I earn a commission if you sign up via my link";
    • on YouTube/video: verbal disclosure at start, plus written disclosure in description;
    • on blog posts: disclosure at or near the top of the article;
    • in email: clear disclosure in body, not buried in fine print.

    Complies with: U.S. FTC Endorsement Guides (16 CFR Part 255); EU Unfair Commercial Practices Directive and Omnibus Directive (2019/2161); Georgian consumer-protection law; Influencer-marketing rules of platforms.

    3.4 Compliance with the MSA, AUP, and Law

    All your activities must comply with: the MSA; the AUP; all applicable laws and regulations.

    3.5 Self-Referral Detection

    If we detect self-referral (same business entity, household, payment instrument, IP indicators), we will withhold or claw back commissions, investigate the pattern, and may terminate participation.


    4. Use of Marketing Assets

    4.1 Permitted Use

    We may make available marketing assets - banners, logos, screenshots, copy, sample emails, video clips, branded link shorteners. You may use these only for promoting FollowUP CRM under the Program, as provided (no material modification), in accordance with our Brand Guidelines.

    4.2 Trademark License - Limited

    Limited, non-exclusive, non-transferable, revocable license to use "FollowUP CRM", "FollowUP", and our logos solely as part of the Marketing Assets. Does not authorize use in your business name, domain name, social media handle, or product name. Terminates immediately upon termination of your participation. Does not authorize use of HighLevel's trademarks.

    4.3 Goodwill

    All goodwill arising from your use of our trademarks inures to our benefit.

    4.4 Quality Control

    We may request that you remove or modify any marketing material at any time. You must comply within a reasonable time (typically 7 days).


    5. Independent Contractor Relationship

    5.1 Status

    You are an independent contractor. You are not an employee, agent, partner, joint venturer, or representative of FollowUP CRM, HighLevel, or any of our affiliates; you are not entitled to employment benefits; you are not authorized to bind us in any contract; you are not entitled to expense reimbursement.

    5.2 Your Costs and Methods

    You decide when, where, and how to promote FollowUP CRM; use whatever methods you choose subject to Section 3 prohibitions; continue or cease promotion at any time; promote competing products (no exclusivity required).

    5.3 No Agency

    You may not sign contracts on our behalf, make pricing commitments, accept service of process, or open offices/accounts in our name.

    5.4 Tax and Insurance

    You are solely responsible for all taxes, any insurance you wish to maintain, and any licenses or registrations required by local law.

    5.5 Mutual Limitations

    Not an exclusive relationship. We may engage other affiliates, agents, partners, employees, or contractors.


    6. Confidentiality

    You must not disclose non-public Confidential Information to third parties; use Confidential Information only for the Program; protect with reasonable care. Exclusions for information that is public, already known, independently developed, or legally compelled. Survives three (3) years after termination.


    7. Term, Suspension, and Termination

    7.1 Term

    Effective from acceptance, continues until terminated.

    7.2 Termination for Convenience

    By You: at any time, by emailing info@followup.agency or through the Program portal. Earned-and-payable commissions paid on next payout cycle. Recurring commissions continue for the full 12-month period unless we terminate for cause.

    By Us: at any time, on written notice. Same effect on commissions, except where termination is for cause.

    7.3 Termination for Cause - Forfeit Unpaid Commissions

    We may terminate immediately and forfeit unpaid commissions if you breach Section 3.2 (spam, brand bidding, self-referrals, fraud); materially breach the MSA, AUP, or other Schedules; fail to comply with disclosure obligations; misrepresent yourself or FollowUP CRM; become subject to sanctions; breach confidentiality; engage in conduct contrary to the spirit of the Program.

    7.4 Suspension

    In lieu of termination, we may suspend participation pending investigation.

    7.5 Clawback

    If commissions paid in error or based on fraud/self-referral/ineligibility, we may deduct from future balance, invoice you for the amount (payable within 30 days), or pursue legal recovery for fraudulent activity.

    7.6 Post-Termination Obligations

    Stop using all our trademarks, Marketing Assets, and affiliate links within 30 days; remove or update promotional content within 30 days; return or destroy Confidential Information within 30 days; continue to honor confidentiality, indemnification, and surviving obligations.


    8. Disputes Regarding Commissions

    8.1 Reporting Dashboard

    You have access to an affiliate dashboard showing referrals, attributed signups, paid Customer status, pending and paid commissions. This is the canonical record.

    8.2 Dispute Process

    Raise the dispute in writing to info@followup.agency within 60 days of the relevant payout date. Include: your affiliate ID, referral details, disputed amount, supporting evidence. We will review and respond within 30 days. If dissatisfied, dispute is subject to MSA Section 18.


    9. Liability and Indemnification

    9.1 Limitation of Our Liability

    Subject to MSA Section 15. Our sole monetary obligation is to pay commissions earned. Not liable for lost profits from your decision to participate or for changes to the commission structure.

    9.2 Your Indemnification

    You will defend, indemnify, and hold harmless FollowUP CRM, HighLevel, and our other Sub-processors from any claim arising from: your promotional activities (false advertising, defamation, IP infringement, privacy violation); failure to disclose your affiliate status; breach of Section 3 prohibitions (TCPA, CAN-SPAM, GDPR, CASL spam-related claims); regulatory action; tax claims; any misrepresentation or impersonation by you.


    10. General

    10.1 Updates to Commission Structure

    Material changes with at least 30 days' prior notice. Already-attributed referrals continue to earn at the rate in effect when attributed.

    10.2 Updates to This Agreement

    Per MSA Section 20.2.

    10.3 No Assignment

    You may not assign your affiliate account or right to receive commissions, except: (i) on death or disability, to estate/successor with our consent; (ii) to a wholly-owned successor entity formed for legitimate business purposes, with notice.

    10.4 Notices

    To us: info@followup.agency. To you: email and physical address on registration.

    10.5 Disputes

    Subject to MSA Section 18.

    10.6 Entire Agreement

    This Agreement + MSA + AUP + Privacy Policy + applicable Schedules.

    10.7 Severability

    If any provision is invalid, the rest remains in force.

    10.8 Survival

    Sections 5 (Independent Contractor), 6 (Confidentiality), 7.5 (Clawback), 7.6 (Post-Termination), 9 (Liability and Indemnification), 10 (General) survive.
